Terms of Sale

Working version

These terms have been drafted with care, but they have not been reviewed by a lawyer. The highlighted passages mark the points that remain uncertain: they are left visible rather than hidden, because a customer is entitled to know where the text is solid and where it is not.

Where this text stands

The twelve articles below are drafted and applicable. Three points remain open, and they are flagged where they arise rather than glossed over: the exact extent of the commitment on what a case contains (Article 3), the reach of the exclusion of returns after shipping (Article 8), and which law governs a customer resident in the United States (Article 12). That last point, along with each state's rules on alcohol delivery, would merit a US lawyer's view on the day the volume shipped to the United States justifies it.

This English version is a translation of the French terms. In case of any discrepancy, the French version prevails, the seller being established in France and the contract governed by French law.

Articles

  • Article 1 — Purpose and scope. These terms govern the sale of wine, wine club memberships and tastings by Dylan Rudelle, a French sole trader registered as EI RUDELLE DYLAN, trading as Le Clos des Loups Wine, 11 rue Ribordot, 21220 Morey-Saint-Denis, France, SIRET 949 658 637 00010, to consumers. They are accepted without reservation at the time of order.
  • Article 2 — Capacity and legal age. Selling alcohol to a minor is prohibited. The customer confirms they are of legal drinking age in their country and, where applicable, their state of residence: 18 in France, 21 in the United States. Proof may be requested. An order placed in breach of this clause is automatically void.
  • Article 3 — Products. Each case contains twelve bottles of Burgundy, in appellation d'origine contrôlée. The seller commits to: the number of bottles, their Burgundian origin, the colour and style requested by the member, and the number of bottles at each appellation level corresponding to the collection subscribed — regional, village, premier cru, grand cru. The seller does not commit to named domaines or named cuvées: Burgundy allocations vary from one year to the next and cannot be guaranteed in advance. The selection is made bottle by bottle, according to the member's profile and what is genuinely available.
  • Article 4 — Price. Prices are shown in euros. Position retained — the price shown covers the wine, the selection, the sheet for each bottle, the membership, transport, duties and taxes. Nothing is due on delivery. VAT not applicable, article 293 B of the French tax code. For an accountant to verify — treatment of excise duty and of VAT on exports outside the European Union
  • Article 5 — Order and formation of the contract. Membership is taken out directly online. The customer chooses a collection, the number of cases, the split between reds and whites and a shipping window, then pays immediately. The contract is formed when payment is taken, and confirmed by a summary email. A manifest pricing error, or an order placed for a destination that is not served, allows the order to be cancelled and refunded in full.
  • Article 6 — Payment. Payments are processed by Stripe Payments Europe, Ltd. Common payment cards are accepted. Le Clos des Loups Wine never has access to the customer's card details. The amount is charged at the time of order. Membership runs for one year and renews for a further year; a letter is sent to the member one month before each term, and the renewal can be stopped at any time before the charge is taken, from the member area or by a simple message.
  • Article 7 — Delivery. See the shipping policy.
  • Article 8 — Right of withdrawal. The member has fourteen days from payment to cancel the membership, without giving a reason and without penalty. A single message to the contact address is enough. The refund is full and is made within fourteen days of the request.

    No case is prepared or shipped before that period has passed. Nothing is ever on its way while the member is still deciding.

    After that, the case is assembled and cannot be taken back. Each case is composed individually, bottle by bottle, from the answers the member gave when joining — the split between reds and whites, the shipping window, the preferences passed on. It is neither a standard product held in stock nor a pre-set assortment. On that basis it falls within the exemption of article L. 221-28 3° of the French Consumer Code, which sets aside the right of withdrawal for goods made to the consumer's specifications or clearly personalised. Once assembled and shipped, a case can therefore be neither returned nor refunded.

    This exclusion concerns withdrawal only. It takes nothing away from the statutory guarantees in Article 9, nor from the replacement of broken or non-conforming bottles set out below, which apply in every case. Worth knowing — to our knowledge no court has ruled on this exemption for an assembled case of wine. It holds only for as long as the personalisation is real and asked at the moment of purchase: if the composition questions were asked after payment, the clause would lose its foundation
  • Article 9 — Legal guarantees. Statutory guarantee of conformity (French Consumer Code, articles L. 217-3 et seq.) and guarantee against hidden defects (French Civil Code, articles 1641 et seq.). These guarantees apply regardless of any contrary contract term.
  • Article 10 — Liability. The seller is answerable for the proper performance of the contract up to delivery, including breakage and damage in transit. The seller cannot, however, be held liable for the consequences of incorrect information supplied by the customer (incomplete address, age of the recipient, repeated absence at delivery), nor for a decision of a customs authority or a local regulation making delivery impossible. In that last case the price of the wine is refunded, less shipping costs already incurred and not recoverable. No clause in this article limits the statutory guarantees in Article 9, which remain owed in every case
  • Article 11 — Personal data. See the privacy policy.
  • Article 12 — Governing law and disputes. French law. Before any legal action, a consumer may refer the dispute free of charge to the designated mediator: CM2C, 49 rue de Ponthieu, 75008 Paris, France — www.cm2c.net. To be verified — for a US consumer, a French governing-law clause may be set aside by a court in their own state; a US entity or partner, if the structure includes one, changes this analysis entirely

Returns, breakage & damage

If a bottle arrives broken or damaged, photograph the outer case before unpacking any further, then the bottle, and write to us within 48 hours of delivery. Keep the packaging until the claim is closed — it is what the carrier's claim rests on.

We replace the bottle in your next shipment, or refund it, whichever you prefer.

Wine is a living product. A corked bottle, oxidation or reduction are not delivery faults, but we still want to hear about it. Tell us, and we will work out what happened together.

These provisions come in addition to the right of withdrawal in Article 8 and to the statutory guarantee of conformity, both of which apply regardless and are limited by no clause in these terms.

Age restrictions & alcohol information

It is illegal to sell alcohol to anyone under 18 in France, and under 21 in the United States. By ordering, you confirm that you are of legal drinking age in your country and, where applicable, in your state of residence.

For any delivery in the United States, the recipient must be 21 or over and must show identification to the carrier. An adult signature is required. The package cannot be left at the door or handed to a third party.

Please enjoy responsibly. Drinking alcohol during pregnancy, even in small amounts, can seriously harm the health of the child.
